Scope of Services
The Company provides business consulting services which may include but are not limited to strategy development, market analysis, process improvement, and technology advisory. The specific scope of services will be outlined in a separate Service Agreement.
Service Agreement
A detailed Service Agreement will be provided for each project, outlining the scope, deliverables, timelines, and fees. Both parties must sign the Service Agreement before any work begins.
Confidentiality
Both parties agree to maintain the confidentiality of all information disclosed during the course of the engagement. Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.
Intellectual Property
All intellectual property developed during the course of the engagement, including reports, analyses, and recommendations, remains the property of the Company until full payment is received. Upon full payment, the client will have a non-exclusive, non-transferable license to use the deliverables for internal purposes only.
Client Responsibilities
The client agrees to provide all necessary information and access to personnel to enable the Company to deliver the Services effectively. The client is responsible for the accuracy and completeness of the information provided.
Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Services, including, without limitation, any loss of profit, business interruption, or loss of data.
Termination
Either party may terminate the Service Agreement with 30 days written notice. In the event of termination, the client agrees to pay for all Services rendered and expenses incurred up to the date of termination.
Governing Law
These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of [Tx/USA], without regard to its conflict of law principles.
Dispute Resolution
Any disputes arising out of or related to these Terms or the Services shall be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiations, it shall be submitted to mediation before resorting to litigation.
Changes to Terms
The Company reserves the right to update or modify these Terms at any time without prior notice. The most current version of the Terms will be posted on our website, and your continued use of our Services constitutes acceptance of any changes.
